Vendor Agreement

1. Introduction

This Vendor Agreement (“Agreement”) is entered into between BeeJAO Global Limited (“BeeJAO”, “Platform”, “we”, “our” or “us”) and any individual, organization, institution or business (“Vendor”) seeking to sell products or services through BeeJAO Digital Market.

By registering as a vendor, uploading products or conducting transactions through BeeJAO Digital Market, you agree to be bound by this Agreement.

2. Eligibility

Vendors must:

• Be at least 18 years old
• Have legal authority to sell submitted products or services
• Provide accurate registration information
• Maintain valid payment details
• Comply with applicable laws and regulations

3. Vendor Approval

BeeJAO reserves the right to review, approve, reject, suspend or terminate vendor applications at its sole discretion.

Approval is not automatic and may involve identity verification, product review, business verification or compliance checks.

4. Approved Product Categories

Vendors may offer approved digital products including:

• eBooks
• Templates
• Business documents
• Software applications
• AI tools and prompts
• Digital courses
• Research reports
• Educational resources
• Creative assets
• Professional resources

BeeJAO may approve additional product categories in the future.

5. Prohibited Content

Vendors may not upload or distribute:

• Copyright-infringing content
• Stolen or unauthorized materials
• Malware or harmful software
• Fraudulent products
• Misleading or deceptive content
• Illegal content
• Hate speech or discriminatory materials
• Adult content prohibited by law
• Content violating intellectual property rights

6. Intellectual Property Ownership

Vendors retain ownership of their original intellectual property.

By listing products on BeeJAO Digital Market, vendors grant BeeJAO a non-exclusive worldwide license to:

• Display products
• Promote products
• Market products
• Distribute products to authorized purchasers
• Use product images, descriptions and metadata for promotional purposes

7. Vendor Representations

Vendors represent and warrant that:

• They own or control all rights to submitted products
• The content does not infringe third-party rights
• The products are accurately described
• The products comply with applicable laws
• The products do not contain harmful code or malicious software

8. Product Review and Approval

BeeJAO reserves the right to:

• Review all product submissions
• Request revisions
• Reject products
• Suspend listings
• Remove products without notice where necessary

Product approval does not transfer responsibility from the vendor.

9. Revenue Sharing

BeeJAO operates a revenue-sharing model.

Unless otherwise agreed:

• Vendor Share: 70% – 80%
• BeeJAO Platform Share: 20% – 30%

Commission structures may vary by vendor tier, category, partnership or promotional arrangements.

10. Vendor Membership Levels

BeeJAO may operate multiple vendor tiers including:

• Free Vendor
• Verified Vendor
• Premium Vendor
• Institutional Vendor

Additional benefits, fees and commission structures may apply.

11. Payments and Withdrawals

Vendor earnings will be made available after applicable:

• Payment verification
• Refund review periods
• Fraud checks
• Chargeback monitoring

BeeJAO may establish minimum withdrawal thresholds and withdrawal schedules.

12. Refunds and Chargebacks

Vendors acknowledge that:

• Customer refunds may affect vendor earnings
• Chargebacks may be deducted from vendor balances
• BeeJAO may temporarily withhold payments during investigations

13. Vendor Responsibilities

Vendors are responsible for:

• Product quality
• Product accuracy
• Customer support relating to their products
• Maintaining updated product information
• Compliance with applicable laws

14. AI Generated Content

Vendors offering AI-generated content must ensure:

• Appropriate rights and permissions exist
• The content does not infringe third-party rights
• Customers are not misled regarding content origin

15. Suspension and Termination

BeeJAO may suspend or terminate vendor accounts where:

• Agreement violations occur
• Fraud is suspected
• Copyright violations occur
• Customer harm may result
• Legal or regulatory concerns arise

16. Limitation of Liability

BeeJAO operates as a marketplace platform and is not responsible for vendor-owned content, representations or product claims.

Vendors agree to indemnify BeeJAO against claims arising from their products, content or activities.

17. Changes to this Agreement

BeeJAO may update this Agreement periodically to reflect business, legal, regulatory or operational changes.

18. Governing Law

This Agreement shall be interpreted in accordance with applicable laws governing BeeJAO’s operations and platform activities.

20. Acceptance

By registering as a vendor, listing products or receiving payments through BeeJAO Digital Market, you acknowledge that you have read, understood and agreed to this Vendor Agreement.
